В течение нескольких лет мы сопровождали серию сделок по привлечению группой компаний Coda Devices (БВО, США, Россия) инвестиций от российских и зарубежных инвесторов. Структура сделок предполагала инкорпорацию юридических лиц в России, США и БВО, заключение корпоративных договоров по российскому праву, shareholders agreements (по английскому праву) и предоставление конвертируемых займов целевой компании, которые также были составлены по английскому праву. В последующем мы сопровождали сделку по продаже группы компаний стратегическому глобальному инвестору TorLabs: сделка была поведена в несколько этапов в формате передачи всех активов. Перед сделкой нами была проведена предпродажная проверка компании (все юрисдикции, юридическая и налоговая часть).

Мы сопровождали продажу компании Вокорд китайскому гиганту Huawei, выступая на стороне компании. Сделка была проведена в несколько этапов, которые включали, в том числе, предпродажную проверку (юридическая, налоговая, финансовая часть), реализацию опционной программы и проч.
Providing support for corporate procedures and transactions with investors to a company engaged in medical trials
Our cooperation with InteKrin (JSC) began in 2011. Since then, we have assisted the company in every internal procedure, structured its investment deals with Russian and US investors, and supervised the subsequent exit of minority shareholders.
Assisted a corporate group in raising a convertible loan
We conducted a pre-investment (legal) due diligence of a corporate group including companies from Russia, Cyprus, Germany and the USA. We subsequently provided legal drafting services (under English law) and closing services for a transaction involving provision of a convertible loan to the parent company (Cyprus).

We conducted a pre-investment due diligence of all group companies, which were domiciled in five jurisdictions: Russia, the UK, Estonia, the USA and China. A total of eight group companies were reviewed.
